Catalog Review Terms
The agreement your store signs before we review its catalog. In short: you send us your own product export after you sign; we use it only for your review; we delete it 30 days after delivery; and you can withdraw at any time.
1. What this agreement is
1.1 These Catalog Review Terms are an agreement between Brummell, Inc. ("Brummell", "we") and the business that operates the online store named in your request ("you"). They are accepted on that business's behalf by the person who submits the request and confirms it from their inbox (the "Signer").
1.2 You ask Brummell to prepare a one-time review of your store's catalog (the "Review"). These terms are your permission for us to use the catalog you send us for that purpose, and they set the limits of that permission. We use nothing of yours before the request is confirmed under section 2.
1.3 The Review is free. Accepting these terms does not oblige you to install anything, buy anything or talk to us again.
3. How we receive your catalog
3.1 We receive your catalog from you. After you confirm under section 2, you send us your store's own product export (in Shopify: Products, Export, all products, as a plain CSV file), by replying to our confirmation email or by sending it to support@brummell.tech from the Signer's address. The export contains only what you choose to export: product titles, descriptions, types, vendors and tags; variants and their options, such as size and colour; prices and availability; and the web addresses of product images ("Catalog Data"). If your export includes columns we do not need, such as cost or inventory quantities, we ignore and delete them.
3.2 If you have installed the Brummell Shopify app, we may instead use the product data the app already reads under the permissions you granted at install and the Brummell Merchant Terms; nothing beyond those permissions is read for the Review.
3.3 We do not read your storefront, your product pages or any Shopify interface for the Review without one of the two routes above. We never get around a password page, a sign-in, bot protection or any other access control.
4. What we never access or do
4.1 We do not ask for or use any login, admin access or API key for the Review, and we do not read anything you did not send us or authorise through the app. That includes orders, customers, analytics, inventory counts, discounts and private pages. Draft or hidden products are included only if they are in the export you send.
4.2 We do not write anything to your store: no cart adds, purchases, account sign-ups, form submissions or reviews.
4.3 Catalog Data is not expected to contain personal data. If it incidentally does (for example a customer's name inside a product description), we do not use it and we delete it with the rest of the Catalog Data.
5. What we use it for
5.1 We use Catalog Data only to prepare and deliver the Review to you, and to answer your questions about it. We process it with the same automated outfit-pairing engine the Brummell Shopify app uses. For the style profile in the Review, an automated model run by Anthropic reads each product's listing, including its image, and returns style attributes; Anthropic processes it for us under terms that forbid using it to train models. Brummell staff check the result before it is sent.
5.2 We do not publish Catalog Data or the Review, show them to other merchants or to shoppers, sell or share them, use them to train or improve any model or anyone else's results, add your products to any Brummell catalog, or use them for marketing. We may contact the Signer about the Review and, unless the Signer asks us not to, once more about Brummell.
5.3 We keep the fact that you asked for a Review, and its contents, confidential. We disclose them only to the service providers in section 10, or where the law requires it.
6. The Review
6.1 The Review is a short PDF with: the share of your clothing products that can show a complete outfit from your own catalog; how many of your highest-priced products can, and which ones cannot yet and what would fix each; whether your catalog covers the five parts of an outfit (tops, bottoms, outerwear, shoes and accessories); and a style profile of your catalog by department, where enough products can be classified. It explains how each figure was estimated. We aim to send it by email to the Signer within two business days of receiving your export or, if you install the app instead, of your install, or of verification under section 2.2 if that comes later.
6.2 The Review is an automated estimate from the product data you sent us. It may contain errors, and it is not a forecast or a promise of sales or any other result.
6.3 You may use the Review inside your business and share it with your team and advisers. Brummell keeps all rights in its software and methods; the Review grants no licence to them.
7. Your rights in your catalog
7.1 You keep all rights in your Catalog Data, including your product images and descriptions.
7.2 You give Brummell a limited, non-exclusive, non-transferable, revocable, royalty-free permission to copy and process Catalog Data only for the purposes in section 5 and only for the time allowed by section 8. You confirm that you are entitled to give that permission for the material on your store.
8. Deletion
8.1 We delete all copies of Catalog Data, including the export you sent and anything derived from it other than the Review, and our copy of the Review file, within 30 days after we deliver the Review. If you do not send an export within 30 days of confirming, we close the request and delete its details, except the record kept under section 8.3.
8.2 If you withdraw, or we cannot verify authority, we stop and delete them within 10 business days. The only copy that can remain is the email that delivered the Review, in our sent mail, until our normal mailbox deletion.
8.3 We keep a record of this agreement (the store, the Signer's name, role and email, the terms version and a fingerprint of their text, and the time, IP address and browser of the request and of the confirmation) for three years, as proof that the Review was authorised. Then we delete it.
9. Withdrawing
9.1 You can withdraw at any time, with the link in our emails or by writing to support@brummell.tech from the Signer's address or the store's published contact address. If you withdraw before the Review is delivered, we stop and do not deliver it. Withdrawing does not undo processing already done.
10. Service providers and the Signer's details
10.1 Brummell uses Vercel (hosting and processing), Supabase (storage of the record in section 8.3), Resend (email) and Anthropic (the automated reading of product listings for the style profile in section 5.1). They process data for us under their own terms and security measures, in the United States.
10.2 Brummell uses the Signer's name, role, email address, IP address and browser details to form and prove this agreement, verify authority and deliver the Review, and for nothing else. The Signer can ask what we hold about them, or ask for its correction, at privacy@brummell.tech. Deletion of the section 8.3 record before three years is available only where the law requires it, because the record is our proof of permission.
11. Disclaimers and liability
11.1 The Review is free and provided as is, without warranties of any kind, to the fullest extent the law allows.
11.2 Neither party is liable to the other for indirect, incidental, special or consequential damages, or for lost profits or revenue, arising from these terms or the Review. Brummell's total liability arising from these terms or the Review is limited to one hundred U.S. dollars (US$100).
11.3 Nothing in these terms limits liability that cannot be limited by law, including for fraud, gross negligence or wilful misconduct, or Brummell's obligations under sections 4, 5 and 8.
12. General
12.1 These terms start when the Signer confirms under section 2.2 and end when the deletion in section 8.1 or 8.2 is complete. Sections 7.1, 8, 10, 11 and 12 continue after that.
12.2 These terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. The state and federal courts in New York County, New York, have exclusive jurisdiction.
12.3 We may publish a new version of these terms for future requests. A request is governed by the version accepted for it, unless both parties agree otherwise in writing.
12.4 If you later install the Brummell Shopify app, the Brummell Merchant Terms govern your use of the app from then on. These terms keep governing the Catalog Data and Review from this request until deletion.
12.5 If any provision is held unenforceable, it is enforced to the maximum extent permitted and the rest stays in effect. These terms are the entire agreement about the Review.
